Terms of Service

1. Overview

These Terms of Service ("Terms") govern your use of the Numa platform, services, records management, curriculum guidance, concierge support features, and all related digital tools ("Numa Services"). By creating a parent account, enrolling a student, or using Numa Services, you agree to these Terms. You must be at least 18 years old to create an account and use Numa Services; see Section 18 (Eligibility, Age, and Community Participation).

Numa Holdings, Inc. ("Numa") operates as a recognized educational entity for regulatory purposes where applicable (including potential Category II or IV status in Tennessee), but does not provide instruction, certified teaching, or academic mastery evaluation. Numa functions primarily as an administrative, record-keeping, and compliance-support institution and is not a government agency, legal advisor, or provider of educational services beyond administrative oversight. Numa provides administrative, compliance-support, record-keeping, and concierge services for homeschool families and umbrella-school entities where applicable.

2. Scope of Numa Services

Numa provides:

  • Record management and document storage
  • Attendance and grade reporting tools
  • Compliance facilitation for umbrella-school requirements where applicable
  • Support with filing, form uploads, and administrative tasks
  • Curriculum suggestions (optional)
  • Digital tools to help families manage homeschooling

Numa does not provide:

  • Instruction or teaching
  • Certified educators
  • Legal advice
  • Guarantees of compliance with state law
  • Guarantees of academic outcomes or progress
  • Guarantees of graduation or college admission
  • Childcare, supervision, or safety oversight

Parents or guardians are the educators of record and remain fully legally responsible for homeschooling.

3. Parent and Guardian Responsibilities

By using Numa Services, the parent or guardian agrees they are solely responsible for:

3.1 Compliance With State Homeschool Laws

This includes, but is not limited to:

  • Filing required documents with the state or district
  • Ensuring instructional time and attendance
  • Selecting curriculum and delivering instruction
  • Maintaining any required portfolios or documentation
  • Monitoring student safety, progress, and well-being
  • Meeting state-specific reporting deadlines

3.2 Accurate Reporting

Parents are responsible for ensuring that all attendance, grades, coursework, and personal information submitted to Numa are accurate and truthful. Parents accept all liability for errors, omissions, or inaccuracies.

3.3 Maintenance of Contact Information

Parents must:

  • Maintain an active email address and phone number
  • Regularly check their Numa account
  • Verify that all submissions are successfully uploaded and retained

4. Limitation of Liability

To the fullest extent permitted by law, Numa Holdings, Inc. is not liable for:

  • Missed state or district deadlines
  • Academic delays or performance issues
  • Parent mistakes, omissions, or record inaccuracies
  • Misuse of curriculum or unsuitable educational choices
  • College admissions outcomes
  • Technical issues, outages, delays, or data loss
  • Emotional distress, family disputes, or student-related problems
  • Any consequences arising from the homeschooling environment (physical, emotional, academic, digital)
  • Acts or omissions of any parent, student, district, or government agency

Parents agree to release, indemnify, defend, and hold harmless Numa Holdings, Inc. from any claim, penalty, audit, dispute, or consequence arising out of their homeschool activities or reporting.

5. No Legal or Professional Advice

Numa does not interpret state law, guarantee legal compliance, or provide legal advice. All compliance decisions and responsibilities remain with the parent.

6. Consent to Record Collection and FERPA-Style Authorization

Parents grant Numa permission to:

  • Collect, store, and maintain student educational records and documents
  • Transmit records to umbrella schools, districts, or state agencies when required
  • Share records with the enrolling parent or legal guardian
  • Maintain digital copies of submitted materials

Parents acknowledge that in homeschool contexts, they are the official educational decision-maker, and Numa acts solely as a service provider and record steward.

7. Technology and Communications Disclaimer

Numa is not responsible for:

  • Platform downtime or outages
  • Errors caused by third-party providers (e.g., payment processors)
  • Lost uploads or corrupted files
  • Delayed notifications or email delivery issues

Parents must verify the success of each submission.

8. Payments and Refunds

  • Monthly and annual plans renew automatically unless canceled.
  • No refunds are provided unless explicitly stated.
  • If payment lapses or fails, services may be suspended or terminated.
  • Enrollment with any umbrella-school entity is not active until payment is completed.

9. Code of Conduct

Parents agree not to:

  • Harass or abuse Numa staff
  • Falsify records or documents
  • Misuse the platform
  • Engage in unlawful behavior

Numa may suspend or terminate services for violations.

10. Termination

Numa may terminate services at any time for:

  • Non-payment
  • Harassment
  • Fraud
  • Policy violations
  • Misuse of the platform

Upon termination, required records will be provided once all outstanding balances are paid in full.

11. Governing Law

These Terms are governed exclusively by the laws of the State of Tennessee, regardless of the user's state of residence.

12. Arbitration and Waiver of Class Actions

All disputes arising from or related to Numa Services shall be resolved through binding arbitration.

Parents waive:

  • The right to file or participate in a class action
  • The right to a jury trial
  • Claims for damages exceeding the total amount paid to Numa in the previous twelve (12) months

13. Modification of Terms

Numa may update or modify these Terms at any time. Continued use of Numa Services constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is deemed unenforceable, all remaining provisions remain in full effect.

15. Diplomas and Graduation Requirements

Numa Holdings, Inc. may issue diplomas to students enrolled in a Numa-administered educational entity, including any Category II or Category IV school recognized under Tennessee law or equivalent structures in other states. Diploma eligibility is determined solely by documentation submitted by the parent or guardian, including coursework details, credits earned, grades reported, and compliance with Numa's graduation criteria.

Numa does not verify academic mastery, instructional quality, curriculum rigor, or the authenticity of any documentation submitted. Parents or guardians are fully responsible for the completeness and accuracy of all academic records. Numa is not liable for diploma acceptance outcomes, including college admissions, NCAA eligibility, military enlistment requirements, employment requirements, or external credential evaluations.

16. Curriculum and Credit Evaluation Disclaimer

Numa does not accredit, certify, endorse, or guarantee the suitability, rigor, or academic credit value of any curriculum, course materials, third-party educational programs, or online resources chosen by the parent. Curriculum decisions are made solely by the parent. Numa accepts parent-reported credits and coursework "as submitted" without independent evaluation.

Parents or guardians are fully responsible for selecting appropriate educational materials, ensuring curriculum alignment with their state's requirements, maintaining academic integrity, and verifying that chosen instructional resources meet any goals related to college admissions, scholarship eligibility, or future educational pathways.

17. Record Retention and Archived Record Requests

Numa maintains digital copies of student records, including documents submitted by parents, for a period determined by internal policy. Parents are strongly encouraged to maintain their own duplicate copies of all academic records, portfolios, immunization forms, work samples, and submissions.

Numa is not responsible for loss of records due to parent error, failure to maintain backups, or changes in state requirements. Requests for archived records may incur processing fees. Fulfillment timelines may vary depending on the age and format of the records.

18. Eligibility, Age, and Community Participation

18.1 Minimum Age

You must be at least 18 years old (or the age of majority in your jurisdiction, if higher) to create a Numa account, agree to these Terms, participate in the Community, or make purchases. By creating an account or using Numa Services, you represent and warrant that you are at least 18 years of age. Numa is a general-audience service intended for adults and does not knowingly allow individuals under 18 to create their own accounts.

18.2 Children and Parent-Managed Profiles

Numa is built for homeschooling families. Children may appear within the Services only as profiles created and managed by their parent or legal guardian — never as independent account holders. A parent or guardian who is at least 18 may create, manage, and supervise profiles for their minor children within the parent's account (for example, in student records, the learning environment, or any student portal). By creating or managing a child's profile, the parent or guardian:

  • represents that they are the child's parent or legal guardian with authority to act on the child's behalf;
  • consents, on the child's behalf, to Numa's collection and use of the child's information as described in our Privacy Policy, solely to provide the Services to the family; and
  • agrees to supervise the child's use of the Services.

A child does not create an account, set a password, agree to these Terms, or participate in the Community independently. The parent or guardian remains the account holder and is responsible for all activity within their account, including activity by any child profile they create.

18.3 Children's Privacy

Numa does not knowingly collect personal information directly from children under 13 except as provided by a parent or guardian through a parent-managed profile, and only as needed to deliver the Services to the family. We do not use children's information for advertising and do not sell it. A parent or guardian may review, edit, or request deletion of their child's information at any time by contacting privacy@numaschool.com. If we learn that a child has created an independent account without parent or guardian involvement, we will deactivate it and delete the associated personal information. Our Privacy Policy describes these practices in more detail.

18.4 Community and User Content

Certain features allow you to post publicly visible content — for example, comments, reviews, forums, events, and other community spaces (collectively, the "Community"). Only adult account holders (18 or older) may post in the Community. You are responsible for the content you post, which must comply with our Code of Conduct (Section 9) and all applicable laws. Numa may remove content and may suspend or terminate accounts that violate these Terms. Parent-managed child profiles cannot post in the Community.

18.5 Mobile App Stores

Where Numa is offered through a mobile app store (such as the Apple App Store or Google Play), age assurance and any required parental consent may also be handled by the app store under its policies and applicable law. Those store-level controls are in addition to, and do not replace, the eligibility requirements in this Section.

18.6 Verification and Enforcement

We may, but are not obligated to, request information to confirm eligibility or age, and we may suspend or terminate any account that does not meet these requirements.

19. SMS / Text Messaging Terms

These SMS terms apply when you provide your mobile phone number and opt in to receive text messages from Numa — for example, by checking the SMS consent box on our consultation booking form. Providing your mobile number and opting in to SMS is optional, and your consent is not a condition of purchasing any goods or services. By opting in, you agree to these SMS terms.

19.1 Types of Messages

If you opt in, Numa may send you recurring transactional and customer-care text messages, including consultation confirmations, appointment reminders, scheduling updates, and messages about your onboarding and registration. We do not send marketing or promotional text messages through this program.

19.2 Message Frequency

Message frequency varies based on your interactions with us and the consultation, onboarding, or registration activity associated with your account.

19.3 Message and Data Rates

Message and data rates may apply. Any such charges are billed by and payable to your mobile service provider. Numa is not responsible for any message or data charges you incur.

19.4 Opt Out and Opt Back In

You can cancel the SMS service at any time by replying STOP to any text message you receive from us. After you send STOP, we will send you a final message confirming that you have been unsubscribed, and you will no longer receive SMS messages from us. If you want to rejoin, you can opt back in at any time by replying START, and we will resume sending text messages to you.

19.5 Help

If you are experiencing any issues with the messaging program, or need help at any time, reply HELP to any message or email us at support@numaschool.com.

19.6 Carrier Liability

Carriers are not liable for delayed or undelivered messages.

19.7 Privacy

Your mobile information, SMS opt-in data, and consent will not be shared with any third parties for marketing or promotional purposes. For details on how we collect, use, and protect your information, please review our Privacy Policy.

Tennessee Addendum

This Addendum applies to families residing in Tennessee or using a Tennessee umbrella-school entity supported or administered by Numa Holdings, Inc.

1. Parent Responsibility Under Tennessee Law

Parents affirm they are solely responsible for complying with Tennessee homeschool requirements, including:

  • Maintaining attendance and instructional hours
  • Determining and delivering curriculum
  • Retaining any required portfolios or work samples
  • Submitting necessary forms and documentation
  • Reporting grades or attendance when required

Numa assists with administrative support but does not monitor daily instruction or ensure legal compliance.

2. Immunization or Exemption Documentation

Parents are solely responsible for completing:

  • The appropriate immunization documentation, or
  • A valid religious exemption

Numa may provide templates or upload tools but does not validate correctness or legal sufficiency.

3. Umbrella School Function

If a parent enrolls through a Numa-supported umbrella-school entity:

  • Numa's role is administrative
  • Instruction is fully parent-directed
  • Grades and attendance are self-reported by the parent
  • Numa transmits records as submitted but does not certify accuracy

4. State Reporting

Parents authorize Numa to transmit records to Tennessee authorities when required, but acknowledge Numa is not responsible for:

  • Delays caused by incomplete or late parent submissions
  • Incorrect data provided by parents
  • State agency processing times
  • Legislative or regulatory changes

5. Hold Harmless for Tennessee Activities

Parents agree to indemnify Numa Holdings, Inc. against any state audit, inquiry, investigation, or dispute arising from their homeschool practices, reporting, attendance, curriculum decisions, or compliance activities.
